Terms and Conditions

In these Terms, “User” or “Users” refers to any third-party that accesses our Services and is not either (i) employed by TheCompleteMedic and acting in the course of their employment or (ii) engaged as a consultant or otherwise providing services to TheCompleteMedic and accessing the Services in connection with the provision of such services.

You acknowledge that these Terms may be updated from time to time, and it is your responsibility to check these Terms periodically for changes. Any updates to these Terms will be effective when they are posted. Your continued use of or access to the Services subsequent to the posting of any updates to this agreement constitutes acceptance of those updates.

Our Services are offered subject to your acceptance without modification of all Terms contained herein and all other additional terms as described in the paragraph below. Your agreement to comply with and be bound by these Terms is deemed to occur upon your first use of the Services. By accessing and using the Services in any manner you expressly agree that you have read, understand and agree to be bound by these Terms. You should stop using the Services immediately if you do not agree to be bound by these Terms.

Additional terms, such as but not limited to our Privacy Policy, may apply to the use of our Services and those additional terms become part of your agreement with us if you use our Services. New features and/or services may be offered through our Services in the future. Such new features and/or services shall be subject to these Terms.

You must be at least 18 years of age to register for use of our Services or membership. By agreeing to these Terms, accessing the Services and/or registering for membership, you represent and warrant that you are at least 18 years of age.

1. Scope

You must be of legal age and competence in order to use our Services. If you are under legal age, you are both prohibited from using our Services and from providing us with any personal information.

If you are accessing our Services on behalf of a third-party, your use of our Services represents to us that you are an authorised representative of that third-party and that your use of our Services constitutes that third-party’s acceptance of our Terms. Our Services are produced and controlled from the United Kingdom. We make no claims that our Services are accessible or appropriate outside of the United Kingdom. If you access our Services outside of the United Kingdom, then you do so at your own risk.

2. Proprietary Rights

In these Terms, "Content" means any text, graphics, images, audio, video, software, data, page layout, underlying code and software that appears on or forms part of our Services, including any such Content uploaded by Users. All Content in our Services, unless uploaded by Users, is the property of TheCompleteMedic, our affiliates or other relevant third-parties.

You acknowledge that the Services have been developed, revised and arranged by TheCompleteMedic and others through the expenditure of judgement and required substantial time, effort and money to produce. Therefore, our Content represents valuable intellectual property of TheCompleteMedic and such others.

Use of our Services constitutes acknowledgment that such Content is protected by copyright and other intellectual property rights. You agree to abide by all applicable copyright and other laws. You agree to abide by any additional copyright notices or restrictions within our Services. You agree to protect the proprietary rights of TheCompleteMedic during and after the term of these Terms. You agree to comply with all reasonable written requests made by TheCompleteMedic to protect their contractual, statutory and common law rights in the Services. You acknowledge that you shall not be granted any license or right to use any trademark or logo displayed within our Services without TheCompleteMedic’s prior written permission.

You agree to notify TheCompleteMedic immediately upon becoming aware of any unauthorised access or use of the Services by any individual or entity. You agree to notify TheCompleteMedic immediately upon becoming aware of any claim that the Services infringe upon any copyright, trademark, or other contractual, statutory, or common law rights.

All present and future rights, including but not limited to trade secrets, patents, copyrights, trademarks, know-how and other proprietary rights of any types under the laws of any government authority (both domestic and foreign), shall at all times be and remain the sole and exclusive property of TheCompleteMedic.

You may for your own personal, non-commercial use only, do the following: (i) retrieve, display and view the Content on an electronic screen; (ii) print one copy of the Content; (iii) share non-premium Content online. You must not otherwise reproduce, modify, copy, distribute or use for commercial purposes any of the Content without the written permission of TheCompleteMedic.

You acknowledge and agree that you have no ownership rights to any trademarks, trade names, copyrights or logos owned by TheCompleteMedic. Such items are not subject to use in any manner by you.

3. User Content

“User Content” is defined as Content such as video clips, photographs, reviews, public messages, ideas, comments and other Content which has been produced by Users. The Services may enable you to submit, post, upload, or otherwise make available (collectively, “post”) User Content that may or may not be viewable by other Users.

By making Content available, you represent and warrant that: (i) the User Content will not infringe the proprietary rights of any third-party and you have fully complied with any third-party licenses relating to the User Content; (ii) you have done all things necessary to successfully pass through to end Users any required terms from third-party licenses where required; (iii) the User Content does not install any viruses, worms, malware, trojan horses, malicious code or other harmful or destructive content; (iv) the User Content is not spam, machine generated or randomly generated; (v) the User Content does not contain unethical or unwanted commercial content designed to drive traffic to third-party sites or boost the search engine rankings of third-party sites; (vi) the User Content does not mislead recipients as to the source of material (such as spoofing); (vii) the User Content is not or will not lead to any unlawful activity; (viii) the User Content is not pornographic, libellous, tortious or defamatory; (ix) the User Content does not harass, abuse, threaten or incite violence towards individuals or entities; (x) the User Content does not violate the privacy or publicity rights of any third-party; (xi) the User Content does not degrade others on the basis of gender, race, class, ethnicity, national origin, religion, sexual preference, disability or other classification; (xii) the User Content does not contain obscene content.

Specifically, in relation to any third-parties, by posting User Content you agree that you have all required rights to do so without violation of any third-party rights. Furthermore, you acknowledge and agree that all User Content, whether publicly posted or privately transmitted, is the sole responsibility of the person from whom the User Content originated.

You agree that you will indemnify, defend, and hold harmless TheCompleteMedic for all claims resulting from User Content you post. We reserve the right, at our own expense, to assume the exclusive defence and control of such disputes, and in any event, you will cooperate with us in asserting any available defences.

You grant TheCompleteMedic a world-wide, perpetual, irrevocable, royalty-free, non-exclusive, and sub-licensable licence to use, copy, distribute, reproduce, modify, edit, adapt, publicly perform and display, translate, sell, lease, create derivative works from and publish User Content that is posted through our Services. This licence applies to any format or medium now known or developed in the future. You agree that your username or other identifying information may be associated with any User Content that you post.

TheCompleteMedic has the right (though not the obligation), at TheCompleteMedic’s sole discretion, to: (i) terminate or refuse access to the Services to any individual or entity for any reason; (ii) refuse or remove any Content that, in TheCompleteMedic’s reasonable opinion, violates any policy or is any way harmful or objectionable. TheCompleteMedic has no obligation to provide a refund of any amounts previously paid under these circumstances.

Any information provided to us by e-mail or in any other format, including but not limited to, questions, answers, suggestions and ideas, will be deemed to be non-confidential. You agree that TheCompleteMedic is free to reproduce, use, disclose and distribute such information to others without restriction and that TheCompleteMedic has no obligation to protect such information from disclosure.

4. License and Conduct

Subject to your compliance with these Terms, TheCompleteMedic grants you a limited, non-exclusive, non-sublicensable, non-transferable, and revocable right to access and use the Services for your own personal use consistent with these Terms.

Without limitation, you agree that you will not: (i) use the Services commercially; (ii) copy, download (other than for personal use), modify, distribute, post, transmit, perform, reproduce, broadcast, duplicate, publish, republish, upload, license, reverse engineer, create derivative works from, or offer for sale any Content or other information contained on or obtained from or through the Services, by any means except as provided for in these Terms or with the prior written consent of TheCompleteMedic; (iii) scrape, access, monitor, index, frame, link, or copy any Content or information on the Services by accessing the Services in an automated way, using any robot, spider, scraper, web crawler, or any other method of access other than manually accessing the publicly-available portions of the Services through a browser or accessing the Services through any approved API; (iv) violate the restrictions in any robot exclusion headers of the Services, if any, or bypass or circumvent other measures employed to prevent or limit access to the Services; (v) frame, inline link, or similarly display the Services or any portion of the Services; (vi) violate or facilitate the violation of these Terms or any policies posted by TheCompleteMedic; (vii) interfere with any other party’s use and enjoyment of the Services; (viii) do anything that could disable or impair the proper functioning of the Services; (ix) falsely state or otherwise misrepresent your affiliation with a person or entity; (x) impersonate any person or entity in a manner that does not constitute parody; (xi) solicit personal or sensitive information, including but not limited to contact details, financial details and passwords, from other Users.

TheCompleteMedic reserves the right, at its sole and absolute discretion, to remove any User Content, block access to the Services and/or cancel the account of any User. Use of the Services for any illegal purpose, or any other purpose not expressly permitted in these Terms, is strictly prohibited.

5. Third-Party Services

The Services we provide may include but are not limited to: (i) information and Content provided by third-parties; (ii) links to third-party websites or resources; (iii) third-party products and services for sale directly to you. Some of these links are affiliate marketing links encoded by third-party partners. This means that TheCompleteMedic will earn an affiliate commission if you click through the link and finalise a purchase, at no extra cost to you. Our affiliate partners may use cookies to understand your use of the Services.

TheCompleteMedic is not responsible for the availability of external third-party sites or resources. Specifically, TheCompleteMedic does not endorse and is not responsible or liable for: (i) any Content or other materials available from such third-party sites or resources; (ii) any errors or omissions from such third-party sites or resources; (iii) any information handling practices or other business practices from such third-party sites or resources.

You agree that TheCompleteMedic shall not be responsible or liable for any damage or loss caused by or in connection with use of or reliance on any such third-party sites or resources. Your interactions with such third-party sites or resources will be governed by their own terms of service and any other similar terms.

Any correspondence or business dealings with advertisers found on or through the Services are solely between you and such advertiser. You agree that TheCompleteMedic will not be responsible or liable for any damage or loss caused by the result of such dealings or as the result of the presence of such advertisers on or through the Services.

6. Responsibility of the Services Users

You are responsible for taking precautions as necessary to protect yourself and your computer systems from malware and other harmful or destructive Content. TheCompleteMedic does not represent or imply that it endorses any or all of the contributed Content, or that it believes such material to be accurate, useful or non-harmful. The Services may contain Content that has technical inaccuracies, typographical mistakes, and other errors. You agree that TheCompleteMedic will not be responsible for any harm resulting from use of the Services.

You must ensure that the details provided by you on registration or at any time are correct and complete. You must inform us immediately of any changes to the information that you provide when registering by updating your personal details to ensure we can communicate with you effectively. If we have reason to believe that there is or is likely to be any misuse of the Services or breach of security, we may require you to change your password or suspend your account.

7. Compliance with Law

You acknowledge, consent, and agree that TheCompleteMedic may access, preserve, and disclose your account information and/or any User Content, if required to do so by law or in good faith belief that such access, preservation, or disclosure is reasonably necessary or appropriate for the following reasons: (i) to comply with the legal process; (ii) to enforce these Terms; (iii) to respond to claims that Content violates third-party rights; (iv) to protect the rights and property of TheCompleteMedic, its agents, its affiliates, its Users and the public; (v) to address your requests.

8. Termination of Services

These Terms are effective unless and until terminated by you or us. If you wish to terminate this agreement you may simply discontinue using the Services. You may cancel your registration, where applicable, at any time by informing us in writing to the email address at the end of these Terms. If you do so, you must immediately stop using the Services available for registered Users. Cancellation or suspension of your registration does not affect any statutory rights. We may, at our sole and absolute discretion, deny you access to all or part of the Services at any time for any or no reason at all, with or without notice to you. Similarly, we may suspend or cancel your registration with immediate effect at any time for any or no reason at all, with or without notice to you.

All provisions of this agreement shall survive termination, including, but not limited to, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

TheCompleteMedic reserves the right at any time to modify or discontinue, temporarily or permanently, the Services (or any part thereof), with or without notice. You agree that TheCompleteMedic shall not be liable to you or any third-party for any modification, suspension or discontinuance of the Services.

9. Miscellaneous

This agreement shall be governed and interpreted according to the law of England and Wales. All disputes arising under the agreement (including non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of England and Wales.

Unless otherwise agreed, no delay, act or omission by a party in exercising any right or remedy will be deemed a waiver of that, or any other, right or remedy.

If any court or competent authority finds that any provision of these Terms is invalid, illegal or unenforceable, that provision or part-provision will, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of these Terms will not be affected.

The Contracts (Rights of Third Parties) Act 1999 shall not apply to these Terms and no third-party will have any right to enforce or rely on any provision of these Terms.

10. Disclaimer

Our Services provide Content and information for informational use on an “as is” and on an “as available” basis at your sole risk. TheCompleteMedic makes no guarantee that the information is accurate or complete and provides no guarantee for the quality of the information. TheCompleteMedic shall not be liable or responsible for any errors, omissions or inaccuracies in the information and you are solely responsible for verifying the information as being appropriate for your personal use. TheCompleteMedic shall not be liable for your reliance on the information. To the maximum extent permitted by the law, we provide no warranties (express or implied) of fitness for a particular purpose, accuracy of information, compatibility and satisfactory quality.

TheCompleteMedic is under no obligation to update information in our Services and accepts no liability for any disruption or non-availability of our Services. Furthermore, it is the responsibility of all Users to take actions to safeguard their own security, their personal information and their computers. You acknowledge that TheCompleteMedic uses reasonable methods to ensure the Services are secure, free of errors and other malware, however TheCompleteMedic cannot guarantee our Services will be secure, free of errors and other malware.

You acknowledge and agree that TheCompleteMedic has the right to take any of the following actions at our sole discretion at any time and for any reason without giving you any prior notice and it will not be held liable for taking these actions: (i) restrict, suspect or terminate your access to all or any part of our Services; (ii) change, suspend or discontinue all or any part of our Services; (iii) refuse, move or remove any User Content that you post to our Services for any reason; (iv) refuse, move or remove any Content that is available through our Services; (v) establish general practices and limits concerning use of our Services.

Our Services may include communications from TheCompleteMedic our partners. These communications are considered part of the Services. You may not be able to opt out of receiving these messages. Furthermore, you understand that our Services may include advertisements.

11. Warranties and Disclaimers

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

(i) YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THECOMPLETEMEDIC DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, AND NON-INFRINGEMENT.

(ii) YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITH NO REPRESENTATIONS OR WARRANTIES OF ANY KIND. THECOMPLETEMEDIC ASSUMES NO RESPONSIBILITY FOR THE TIMELINESS, DELETION, MIS-DELIVERY OR FAILURE TO PROVIDE ANY CONTENT OR TO STORE ANY PERSONALISATION SETTINGS OR USER MATERIALS.

(iii) ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE SERVICES IS DOWNLOADED AND USED AT YOUR SOLE DISCRETION AND RISK. YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, MOBILE DEVICE, SOFTWARE, TECHNOLOGY OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF ANY SUCH CONTENT.

(iv) NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM THECOMPLETEMEDIC OR THROUGH OR FROM THE SERVICES SHALL CREATE ANY WARRANTY. THECOMPLETEMEDIC MAKES NO WARRANTY THAT THE CONTENT AVAILABILE THROUGH ITS SERVICES WILL BE ERROR FREE. THECOMPLETEMEDIC WILL NOT BE RESPONSIBLE FOR ANY THIRD-PARTY CONTENT ON SERVICES, ANY LINKS TO THIRD-PARTY WEBSITES OR ANY THIRD-PARTY WEBSITES. THECOMPLETEMEDIC DOES NOT VET OR VERIFY USERS THAT IDENTIFY THEMSELVES AS EXPERTS ON PARTICULAR TOPICS THROUGH THE SERVICES, AND YOU AGREE NOT TO HOLD THECOMPLETEMEDIC RESPONSIBLE FOR RELIANCE ON SUCH EXPERTS IF YOU DO NOT ACHIEVE THE RESULTS YOU EXPECT IN RELYING ON SUCH EXPERTS.

12. Limitation of Liability

IN NO EVENT WILL THECOMPLETEMEDIC, ITS RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, MEMBERS, SHAREHOLDERS, OR REPRESENTATIVES (FUTURE, CURRENT AND PAST; COLLECTIVELY “THECOMPLETEMEDIC” FOR THIS SECTION) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES RESULTING FROM THE PERFORMANCE, USE OF OR THE INABILITY TO USE THE SERVICES OR PRODUCTS. THECOMPLETEMEDIC WILL NOT BE LIABLE FOR THE COST OF REPLACEMENT PRODUCTS, LOSS OF REVENUE OR LOSS OF GOOD WILL. IN ANY EVENT, OUR AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNT PAID FOR THE PRODUCT OR SERVICE TO WHICH THE CLAIM RELATES OR, IF THE CLAIM DOES NOT RELATE TO A PRODUCT OR SERVICE, £100. YOU AGREE AND ACCEPT THESE LIMITATIONS EVEN WHERE THECOMPLETEMEDIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, VIOLATION OF STATUTE OR OTHERWISE.

THECOMPLETEMEDIC DOES NOT WARRANT, ENDORSE, GUARANTEE OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD-PARTY THROUGH THE SERVICES OR ANY WEBSITE FEATURED OR LINKED TO THROUGH THE SERVICE. THECOMPLETEMEDIC IS NOT RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND SUCH THIRD-PARTY PROVIDERS. FURTHERMORE, THECOMPLETEMEDIC WILL NOT BE LIABLE FOR THE CONDUCT, BOTH LEGAL AND ILLEGAL, OF ANY THIRD-PARTY. YOU VOLUNTARILY ASSUME THE RISK OF HARM OR DAMAGE FROM THE FOREGOING.

13. Indemnity

You agree to indemnify, defend and hold TheCompleteMedic and its respective officers, directors, employees, members or representatives (future, present and past), harmless from and against any claim or demand, including without limitation, reasonable attorneys’ fees and disbursements, made by any third-party in connection with or arising out of your use of the Services, your connection to the Services, your violation of the Terms or Privacy Policy, your violation of any applicable law, your posting of User Content, and/or your violation of any rights of another. We reserve the right, at our own expense, to assume the exclusive defence and control of such disputes, and in any event, you will cooperate with us in asserting any available defences.
